By accessing our website, engaging our services, purchasing digital products, or communicating with us in any form, you (“you”, “client”, “user”) agree to be bound by these Terms and Conditions.

2. Definitions
Services: All SaaS products, web applications, websites, automation systems, AI-enabled tools, consulting, maintenance, and digital solutions provided by Code & Pixals.
Client: Any individual or business engaging our services.
Deliverables: All outputs including software, systems, workflows, designs, documentation, configurations, and custom development work.
Intellectual Property (IP): All underlying code, logic, system architecture, components, templates, and designs created by Code & Pixals.
Platform Credentials: Access credentials, API keys, tokens, documentation, or data provided by the client for project execution.
3. Acceptance of Terms
By hiring us, making a payment, submitting project information, or using our services, you confirm that:
You have read and understood these Terms
You agree to be legally bound by them
You have authority to represent yourself or your organization
4. Scope of Services
We design and build:
SaaS products and internal systems
Web applications and dashboards
Websites and digital interfaces
Automation-enabled and AI-assisted systems
Custom digital tools and workflows
The specific scope of work is defined through one or more of the following:
Written proposals
Contracts or agreements
Confirmed written communication
Any work outside the agreed scope constitutes additional services and may require separate pricing and timelines.
5. Client Responsibilities
Clients agree to provide:
Clear and accurate requirements
Timely communication and feedback
Necessary access credentials and permissions
Required documents, content, and assets
A single point of contact
Delays caused by incomplete or late client input may impact delivery timelines and are not our responsibility.
6. Intellectual Property and Usage Rights
6.1 Core Systems, Logic, and Architecture
Unless explicitly agreed otherwise in writing:
Code & Pixals retains ownership of all underlying system logic, architecture, reusable modules, components, templates, and frameworks.
Clients receive a non-transferable license to use the deliverables for their internal business operations.
Clients may not:
Sell, resell, or sublicense our systems or components
Claim authorship of our underlying architecture or logic
Redistribute our work publicly or privately
Use our systems to create competing or derivative products
Exclusive ownership or resale rights require a separate written agreement and premium licensing fees.
6.2 Websites and Web Applications
Unless otherwise stated:
Clients own their brand assets, content, and data
Code & Pixals retains ownership of reusable components, templates, and structural logic
Full IP transfer is available only through explicit contractual agreement.
7. Client Data and Confidentiality
We treat all client data as confidential.
Clients may provide credentials, documentation, internal workflows, databases, or assets required for project delivery.
We agree to:
Use client data only for agreed project purposes
Keep credentials secure and confidential
Never sell or misuse client information
Remove or archive access after project completion unless maintenance is agreed
Clients agree not to disclose our proprietary systems, logic, or internal methodologies.
8. Payments and Billing
8.1 Pricing
Pricing is determined based on:
Project scope and complexity
Development time and integrations
Revision requirements
Ongoing support or maintenance
Pricing may change if scope changes.
8.2 Payment Structure
Unless stated otherwise:
50% advance payment to commence work
50% upon milestone or final delivery
Alternative payment structures may apply for retainers or long-term engagements.
8.3 Refund Policy
Due to the custom nature of our work:
Payments are non-refundable once work has begun
Exceptions may be considered if:
No work has started
Delays are solely caused by us
Cancellation is mutually agreed early
Refund decisions are discretionary and case-specific.
9. Delivery Timelines
All timelines are estimates and not guarantees.
Delivery may be affected by:
Client responsiveness
Scope changes
Third-party platforms or APIs
Technical or integration constraints
We are not responsible for delays caused by external platforms or client-side issues.
10. Revisions and Changes
Each project includes a defined number of revisions.
Once revision limits are exceeded:
Additional work will be billed separately
New features may require a new agreement
11. Maintenance and Support
Post-delivery support is not included unless explicitly agreed.
Maintenance services may include:
Ongoing system updates
Feature enhancements
Bug fixes
API or platform updates
Hosting or infrastructure assistance
Without an active maintenance agreement, no ongoing support is guaranteed.
12. Acceptable Use Policy
Clients must not use our services for:
Fraud, scams, or deceptive practices
Illegal access, scraping, or hacking
Violations of platform or API terms
Automated spam or unsolicited messaging
Financial misconduct or money laundering
Harmful, abusive, or illegal activities
Violations may result in immediate termination without refund.
13. Limitation of Liability
To the fullest extent permitted by law:
We are not liable for indirect, incidental, or consequential damages
We do not guarantee uninterrupted or error-free systems
We are not responsible for third-party platform failures
Our total liability is limited to the amount paid for the service
14. Warranties and Disclaimers
All services are provided “as is”, without warranties of:
Financial or business outcomes
Performance beyond platform limitations
Compatibility with all third-party tools
Software systems inherently carry risk, and clients accept this reality.
15. Termination
We may terminate services if:
Payments are overdue
Communication ceases
Terms are violated
Systems are misused or resold
Upon termination:
Clients retain rights to completed deliverables
Code & Pixals retains IP rights to underlying systems
16. Resale, Licensing, and Exclusivity
Clients are strictly prohibited from reselling or redistributing:
SaaS systems
Web applications
Automations
Templates or components
Designs or logic
Exclusive or resale rights require a separate agreement and licensing fee.
17. Governing Law
These Terms are governed by applicable contract laws, with consideration for U.S., EU, UK, and California regulations where relevant.
Jurisdiction is determined in a manner that reasonably protects both parties.
18. Changes to Terms
We may update these Terms periodically.
Revisions will be published on this page with an updated “Last Updated” date.
